Products
The term “products” as used in these terms and conditions
means any products that are offered for sale.
Prices
Prices are exclusive of taxes, shipping, insurance, broker
fees, or custom duties. These expenses are solely the responsibility of the
Customer.
Shipping and Delivery
Products are custom manufactured at the time of
order. Please allow sufficient time for manufacturing. All products will be
shipped at Customer’s expense. Insurance is automatically provided unless
specifically not desired by Customer. All claims for shipping damage are the
sole responsibility of Customer.
Merchandise
is only shipped upon receipt of payment, unless other arrangements are made in
advance. Tested RF Cables will not be liable for any delay or failure to
deliver resulting from circumstances beyond our reasonable control.
Title, Risk of Loss, and Security Interest
Title to all products and risk of loss will pass to Customer
upon tender to the carrier. Shipping damage claims are Customers
responsibility.
Taxes
Any and all federal, state, and local sales, use, excise,
privilege, and similar taxes imposed on Tested RF Cables or which Tested RF
Cables has a duty to collect in connection with the sale, delivery, or use of
any product will appear as a separate item on the invoice. If sales to Customer
are exempt from such taxes, Customer shall furnish Tested RF Cables a
certification of exemption prior to shipment.
Invoices and Payment
Unless otherwise agreed to by Tested RF Cables, payment must
be received prior to shipment of an order. All amounts are in United States
dollars. An invoice will be included with the shipment of each order.
Return Policy
Products may be returned within 15 calander days. Tested RF Cables are a
custom manufactured product at the time of order. Due to this any cable or
product returned will be subject to a 15% restocking fee.
Customers
must contact Tested RF Cables for a Return Authorization prior to returning any
product. All products must be returned intact, without damage and with all
parts and documentation provided at the time of sale. Upon receipt of product
by Tested RF Cables, product will be inspected for completeness. Upon
satisfactory inspection, Tested RF Cables will issue a refund for the full
purchase price of the merchandise to Customer, less any shipping and handling
costs.
Warranty
Tested RF Cables provides a one (1) year warranty
commencing on the date of shipment. All products are warranted for defects in
manufacturing or component failure. Tested RF Cables at its sole option, will
1) Repair the product at no charge for parts or labor, 2) Replace the product
with a comparable product, or 3) Refund the purchase price in exchange for the
defective product.
All products returned must be in the original or
comparable packing carton with all accessories originally provided. Return
shipping cost is Customers responsibility. Repaired or replaced products will
be shipped back to the Customer at Tested RF Cable’s expense.
Any warranty offered shall not apply to any defect,
failure, or damage caused by the improper use or care of the product. Tested RF
Cables shall not be obligated under this warranty to: a) repair damage
resulting from attempts to repair; b) repair damage, malfunction, or
degradation of performance resulting from improper use or connection to
incompatible equipment; c) repair damage from incorrect user maintenance; d)
repair damage caused by Customer modifications; or e) repair or replacement
from Customers lack of understanding of product capabilities, features, or
suitability for an application.
Customers
must contact Tested RF Cables for a Return Authorization prior to returning any
product.
Limitation of Liability
In no event shall Tested RF Cables be liable for any indirect,
special, incidental, or consequential damages arising out of Customers purchase
or use of any product.
Export Restrictions
Customer shall not export, re-export, or transfer,
directly or indirectly, any product or technical data received hereunder, to
any country or user to which such actions are restricted by United States
or local country law or regulation without first obtaining any required
governmental license, authorization, certification, or approval.
If Customer
resells or otherwise disposes of any product or technical data purchased
hereunder, it will comply with any export restrictions applicable to such
transfer.
Tested RF
Cables shall have no liability for delayed delivery or non-delivery resulting
from denial, revocation, suspension, or governmental delay in issuance of any
necessary import/export license or authority.
Waiver
The failure of either party to enforce any provision of these
terms and conditions shall not be construed as a waiver of such provision or
the right thereafter to enforce each and every provision. No waiver by either
party, express or implied, of any breach of these terms and conditions shall be
construed as a waiver of any other breach of such terms or conditions.
Assignment
Customer may not assign or otherwise transfer its rights or
obligations under these terms and conditions without the prior written consent
of Tested RF Cables. No attempt to assign or transfer in violation of this
provision will be binding upon Tested RF Cables or its successors.
Governing Law
The rights of the parties hereunder shall be governed by and
construed in accordance with the laws of the State of Arizona,
USA.
These Terms and Conditions take precedence over any Purchase Order or Sales Agreement
tendered by Buyer.
Attorneys’ Fees
If litigation is commenced by either party to enforce any
contract including these terms and conditions, the prevailing party shall be
entitled to recover its reasonable costs and attorneys’ fees, both at trial and
on appeal.
Notices
All notices shall be given in writing and deemed effective
upon receipt. Notices to Customer will be sent electronically by email if
available, or otherwise to the address shown in Customers order. Notices to
